NOTICE OF PUBLIC HEARING CITY OF WADENA, MINNESOTA PLEASE TAKE NOTICE that the City Council of the City of Wadena, Minnesota (the “City”) will conduct a public hearing on May 10, 2022 commencing at 5:00 p.m. or as soon thereafter as the matter may be heard at the City Hall, 222 2 nd Street SE in the City. The purpose of the hearing will be to hear testimony, orally or in writing, on a proposal that the Housing and Redevelopment Authority of Wadena (the “HRA”) issue its Gross Revenue Refunding Bonds, Series 2022A (Fair Oaks Assisted Living Project) (the “Bonds”) to refund its Gross Revenue Refunding Bonds (Fair Oaks Assisted Living Project), Series 1999 which refinanced the acquisition of a rental housing assisted living facility for elderly persons and families located at 131 Shady Lane Drive in the City (the “Facility”). The issuance of the Bonds, among other things, extends the maturity and weighted average maturity of the debt for the Facility and therefore a public hearing is required pursuant to Internal Revenue Code of 1986, as amended (the “Code”). The HRA may from time to time lease the Facility to, or cause it to be operated by, a nonprofit entity described in Section 501(c)(3) of the Code and therefore, the Bonds are being issued as qualified 501(c)(3) bonds under Section 145 of the Code. Following the public hearing, the Council will consider a resolution authorizing the HRA to issue the Bonds with an extended maturity. At the time and place fixed for the public hearing, the City Council will give all persons who appear at the hearing an opportunity to express their views with respect to the proposal. In addition, interested persons may file written comments respecting the proposal with the City Administrator at or prior to the public hearing. 4/28
