NOTICE OF PUBLIC HEARING

CITY OF WADENA, MINNESOTA

PLEASE TAKE NOTICE that the City

Council of the City of Wadena, Minnesota

(the "City") will conduct a public hearing on

December 20, 2012 commencing at 5:00

p.m. or as soon thereafter as the matter may

be heard at the City Hall, 222 2nd St SE in

the City. The purpose of the hearing will be

to hear testimony, orally or in writing, on a

proposal that the Housing and Redevelop-

ment Authority of Wadena (the "HRA") enter

into a Lease (the "Lease"), with LSS of

Wadena, LLC, a Minnesota limited liability

company (the "Company")), whose sole

member is Legacy Senior Services, a Minne-

sota nonprofit corporation. Under the terms

of the Lease, the Company will lease and

operate the Fair Oaks Atrium Apartments, a

32-unit senior housing with services facility

owned by the HRA (the "Facility"). The Fa-

cility is located at 131 Shady Lane Drive in

the City.

The Lease, among other terms, will pro-

vide that the rental payments to be made by

the Company will equal or exceed the

amount required to pay the principal of and

interest when due on the Governmental

Housing General Credit Gross Revenue Re-

funding Bonds (Fair Oaks Assisted Living

Project), Series 1999 (the "Bonds"), of the

City. The principal of and interest on the

Bonds are expected to be paid from the ren-

tal payments to be made by the Company

under the Lease.

At the time and place fixed for the public

hearing, the City Council will give all persons

who appear at the hearing an opportunity to

express their views with respect to the pro-

posal. In addition, interested persons may

file written comments respecting the propo-

sal with the City Administrator at or prior to

the public hearing.
